Agreement to Terms

By downloading, installing, or using LocalWhisper (“the Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Software.

License Grant

Personal License

Upon purchase of a Personal License, we grant you a non-exclusive, non-transferable license to:

  • Install and use the Software on up to two (2) devices that you own or control.
  • Use the Software for personal or commercial purposes.

Team License

Upon purchase of a Team License, we grant you a non-exclusive, non-transferable license to:

  • Install and use the Software on devices owned or controlled by your organization.
  • The number of seats (users) is determined by your license tier.

Restrictions

You may not:

  • Redistribute, sell, lease, or sublicense the Software.
  • Reverse engineer, decompile, or disassemble the Software.
  • Remove or alter any proprietary notices or labels on the Software.
  • Use the Software to develop competing products.
  • Share license keys with unauthorized users.
  • Circumvent or attempt to circumvent license validation.

Intellectual Property

The Software, including all code, graphics, user interface designs, and documentation, is owned by Sekora AI and protected by copyright and other intellectual property laws. Your license does not grant you any ownership rights in the Software.

Updates and Support

  • Updates: License holders are entitled to free updates within their license version (major version updates may require a separate purchase or upgrade fee).
  • Support: We provide email support for licensed users. Response times may vary.

Payment and Refunds

Payment

  • All purchases are processed through Stripe.
  • Prices are listed in USD unless otherwise specified.
  • You are responsible for any applicable taxes.

Refund Policy

  • We offer a 14-day money-back guarantee from the date of purchase.
  • To request a refund, contact [email protected] with your order details.
  • Refunds are processed to the original payment method.
  • After 14 days, refunds are provided at our sole discretion.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that:

  • The Software will meet your specific requirements.
  • The Software will be uninterrupted, timely, secure, or error-free.
  • The results from using the Software will be accurate or reliable.
  • Any errors in the Software will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEKORA AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Software.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any bugs, viruses, or the like that may be transmitted to or through the Software.
  • Any errors or omissions in any content.

Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Sekora AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Software or violation of these Terms.

Termination

  • We may terminate your license immediately if you breach these Terms.
  • Upon termination, you must cease all use of the Software and destroy all copies.
  • Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Software after such changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in California.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sekora AI regarding the Software and supersede all prior agreements and understandings.
